ArbEx Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, terminal, market information, software, documentation, and related products and services made available by ArbEx (“ArbEx,” “we,” “us,” or “our”).

By accessing or using ArbEx, creating an account, purchasing a subscription, or selecting Agree & Continue, you acknowledge that you have read and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use ArbEx.

1. Definitions

For purposes of these Terms:

“Service” means the ArbEx websites, applications, terminal, APIs, documentation, software, features, and related services.

“Market Information” means market prices, quotations, order-book information, sizes, open interest, market descriptions, contract rules, resolution criteria, settlement information, historical information, analytics, calculated values, and other market-related information displayed through the Service.

“ArbEx Analytics” means information created or calculated by ArbEx, including contract matches, synthetic markets, calculated spreads, displayed edge, relative-value relationships, annualized returns, alerts, and other derived information.

“Information Providers” means exchanges, designated contract markets, prediction-market operators, data vendors, public sources, blockchain networks, and other third parties from which Market Information may be obtained.

“User Content” means custom tickers, descriptions, labels, alerts, watchlists, configurations, feedback, and other material submitted or created by a user through the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.

By using ArbEx, you represent and warrant that:

  • you meet these eligibility requirements
  • the information you provide is accurate and complete
  • your use of the Service is lawful in your jurisdiction
  • you are not prohibited from accessing any underlying venue or market you choose to use; and
  • you will comply with all laws and third-party rules applicable to your activities.

You are responsible for determining whether prediction markets, event contracts, or related activity are lawful and available where you reside.

3. The ArbEx Service

ArbEx is a financial-data and analytical platform for prediction markets and event contracts.

Depending on your account and subscription, the Service may provide:

  • market information from multiple venues
  • automated and manually reviewed contract matching
  • consolidated market views
  • synthetic market construction
  • calculated arbitrage and relative-value indicators
  • order-book and market-depth information
  • historical pricing and charts
  • custom tickers
  • calculators
  • alerts
  • watchlists
  • side-by-side contract-rule comparisons
  • documentation and educational materials; and
  • API or data-access features.

Unless we expressly state otherwise in writing, ArbEx:

  • does not operate a trading venue or exchange
  • does not execute or route orders
  • does not accept, control, custody, or hold customer funds or assets
  • does not maintain trading accounts
  • is not a counterparty to any transaction
  • does not clear or settle transactions
  • does not act as a broker, futures commission merchant, introducing broker, commodity trading adviser, investment adviser, clearing organization, fiduciary, or similar intermediary; and
  • is not responsible for transactions entered into through third-party platforms.

Future account-linking, execution, routing, brokerage, funding, custody, or similar features may be governed by supplemental terms that you must accept before using those features.

4. Informational Use Only

The Service is provided for informational, research, and analytical purposes.

Nothing displayed through ArbEx constitutes:

  • investment advice
  • trading advice
  • a recommendation to purchase or sell any contract
  • an offer or solicitation
  • legal advice
  • tax advice
  • accounting advice
  • individualized financial advice; or
  • a representation that any strategy is appropriate for you.

ArbEx does not consider your financial situation, objectives, experience, risk tolerance, or suitability.

You remain solely responsible for every trading and financial decision you make.

5. Market Information

ArbEx obtains Market Information from Information Providers and other third-party sources.

Market Information may be:

  • delayed
  • incomplete
  • inaccurate
  • unavailable
  • stale
  • incorrectly transmitted
  • incorrectly formatted
  • subsequently corrected
  • inconsistent across sources; or
  • affected by technical, operational, or third-party failures.

We seek to provide Market Information promptly and accurately, but we do not warrant that any information is complete, current, accurate, uninterrupted, or free from error.

Information Providers may change, correct, withdraw, delay, or discontinue information without notice to ArbEx.

The official information and records maintained by the relevant Information Provider or trading venue control over information displayed through ArbEx.

6. Automated Contract Matching

ArbEx uses automated systems, rules, models, and manual review processes to identify contracts that may represent the same, similar, related, or economically connected outcomes.

Contract matching is provided on a best-efforts basis.

Contracts that appear equivalent may differ in material ways, including:

  • wording and defined terms
  • covered individuals or entities
  • geographic scope
  • measurement period
  • opening or closing time
  • settlement time
  • resolution source
  • treatment of preliminary or revised data
  • rounding conventions
  • cancellation provisions
  • postponement provisions
  • invalid-market rules
  • replacement-candidate rules
  • treatment of ties
  • extraordinary-event provisions
  • venue interpretation; or
  • subsequent rule amendments or clarifications.

ArbEx does not guarantee that:

  • matched contracts are legally or economically equivalent
  • all material differences have been detected
  • the displayed match is complete or correct
  • contracts will resolve consistently
  • a venue will interpret its rules as expected
  • an Information Provider will follow an expected resolution process; or
  • a displayed relationship will continue to exist.

You must review the current official rules published by every underlying venue before relying on a match.

The rules and final determination of each underlying venue control the resolution of its contract.

7. Synthetic Markets and Derived Analytics

ArbEx may combine one or more underlying contracts to display a synthetic market, spread, ladder interval, exhaustive-outcome basket, relative-value relationship, or other derived structure.

Synthetic calculations may depend on assumptions concerning:

  • contract direction
  • contract weights
  • complementary outcomes
  • mutual exclusivity
  • exhaustive outcome coverage
  • threshold relationships
  • rounding
  • resolution rules
  • settlement timing
  • fees
  • contract size; and
  • price availability.

ArbEx does not guarantee that a synthetic structure:

  • perfectly reproduces the intended payoff
  • includes every necessary outcome
  • excludes every overlapping outcome
  • uses the correct weights or directions
  • will settle consistently across venues; or
  • will produce the displayed return.

Before acting, you must independently verify the payoff under every possible outcome and review the rules of every component contract.

8. Prices, Liquidity and Executability

Prices, spreads, sizes, edge calculations, returns, annualized rates, and payout estimates displayed through ArbEx may be based on currently available or recently received market information.

A displayed price or opportunity does not mean that:

  • the price remains available
  • the displayed size remains available
  • every required leg can be executed
  • the trade can be completed simultaneously
  • the displayed return can be realized
  • sufficient funds or collateral are available
  • a venue will accept the order; or
  • the market will remain open.

Prices and liquidity may change before or during execution.

A user may experience:

  • slippage
  • partial fills
  • rejected orders
  • stale quotations
  • trading halts
  • API delays
  • venue outages
  • blockchain delays
  • order cancellations
  • position limits
  • funding restrictions; or
  • one leg filling while another remains unexecuted.

A transaction that appears hedged or risk-limited may become directional or unhedged if every leg is not completed as expected.

9. Fees and Calculated Returns

Where supported, ArbEx may incorporate estimated venue fees into its calculations.

Fees may vary based on:

  • venue
  • account type
  • maker or taker status
  • contract
  • price
  • transaction size
  • promotional program
  • jurisdiction; or
  • changes made by the venue.

ArbEx does not guarantee that every applicable cost has been included.

Displayed returns may exclude or inaccurately estimate:

  • trading fees
  • withdrawal fees
  • blockchain fees
  • conversion costs
  • funding costs
  • taxes
  • spread costs
  • slippage
  • opportunity costs
  • data charges; or
  • other expenses.

You are responsible for confirming all fees and costs directly with the relevant provider.

10. No Guarantee of Profit

ArbEx does not guarantee:

  • that any trade will be profitable
  • that any arbitrage is risk-free
  • that a displayed edge can be captured
  • that a price difference will converge
  • that a fixed payout will be received
  • that every leg will execute
  • that an alert will arrive in time
  • that a venue will remain operational
  • that settlement will occur as expected; or
  • that historical relationships will continue.

Even a position intended to produce a fixed or bounded payout may be affected by contract differences, execution failures, settlement disputes, rule changes, fees, venue insolvency, account restrictions, technical failures, or other events.

You assume all risk arising from decisions made using the Service.

11. Third-Party Platforms

The Service may display information from or provide links to third-party trading venues, exchanges, websites, wallets, blockchains, data providers, payment processors, and other services.

Third parties are independent from ArbEx. Your relationship with a third party is governed by that party’s own:

  • terms of service
  • market rules
  • privacy policy
  • fee schedule
  • eligibility requirements
  • account agreement
  • dispute process; and
  • regulatory obligations.

ArbEx does not control and is not responsible for a third party’s:

  • information
  • conduct
  • availability
  • security
  • execution
  • custody
  • deposits or withdrawals
  • market rules
  • rule changes
  • settlement decisions
  • account restrictions
  • outages
  • losses; or
  • regulatory status.

A reference or link to a third party does not imply endorsement, sponsorship, affiliation, or partnership unless expressly stated by ArbEx in writing.

Third-party names, logos, and trademarks remain the property of their respective owners.

12. Information-Provider Rights and Additional Terms

Certain Market Information may be owned by or licensed from Information Providers.

Your use of that information may be subject to provider-specific restrictions, notices, disclaimers, classifications, or supplemental terms.

You agree to comply with any additional terms presented through the Service in connection with particular information.

ArbEx may modify, limit, suspend, or discontinue access to particular Market Information when required by an Information Provider, law, contract, or operational necessity.

Nothing in these Terms transfers ownership of third-party information to you.

13. Accounts

Certain features require an account.

You agree to:

  • provide accurate and current account information
  • keep your credentials confidential
  • use reasonable security measures
  • promptly notify ArbEx of suspected unauthorized access
  • maintain an accurate email address; and
  • accept responsibility for activity conducted through your account.

You may not sell, transfer, sublicense, or share your account.

Individual plans are licensed to one named user. Organizations needing access for multiple users must purchase an applicable team, institutional, or enterprise plan.

We may limit concurrent sessions or require reauthentication to prevent unauthorized account sharing.

14. Market-Risk Acknowledgment

Before accessing the terminal, you may be required to acknowledge disclosures concerning Market Information, contract matching, synthetic pricing, and trading risks.

ArbEx may record:

  • your account identifier
  • the acknowledgment version
  • the Terms version
  • the date and time of acceptance
  • your IP address
  • your browser or device information; and
  • other records reasonably necessary to document acceptance.

If the acknowledgment or these Terms materially change, we may require renewed acceptance before you continue using the Service.

15. Subscriptions

Certain features require a paid subscription.

By purchasing a subscription, you authorize ArbEx and its payment processor to charge your selected payment method for:

  • the displayed subscription price
  • applicable taxes; and
  • disclosed recurring charges.

The price, billing frequency, included features, and renewal terms will be presented before purchase.

Automatic renewal

Unless stated otherwise at checkout, paid subscriptions renew automatically for additional billing periods until canceled.

Cancellation

You may cancel through the billing or account portal.

Unless otherwise stated:

  • cancellation takes effect at the end of the current paid period
  • paid access continues until that period ends; and
  • cancellation does not retroactively refund charges already incurred.

Upgrades and downgrades

Subscription upgrades may take effect immediately and may result in a prorated charge.

Downgrades may take effect immediately or at the next renewal, as disclosed through the billing interface.

Failed payments

If payment fails, ArbEx may:

  • retry the payment
  • restrict paid features
  • downgrade the account
  • suspend access; or
  • terminate the subscription.

Price changes

We may change subscription prices by providing reasonable advance notice. Unless you affirmatively agree otherwise, a change will apply no earlier than the next renewal after notice.

Refunds

Except where required by law or expressly stated otherwise, subscription charges are nonrefundable.

We may issue a refund or credit at our discretion. Doing so in one case does not require us to do so in another.

16. Payment Processing

ArbEx may use third-party payment processors, including Stripe, to process subscription payments.

Payment information is submitted directly to the payment processor and is governed by that provider’s terms and privacy policy.

ArbEx generally does not receive or retain complete payment-card numbers. We may receive limited billing information such as:

  • customer identifiers
  • subscription status
  • payment status
  • card brand
  • card expiration information
  • billing address; and
  • transaction records.

You authorize us to exchange information with our payment processor as reasonably necessary to provide billing services, prevent fraud, and administer your subscription.

17. Custom Tickers and User Configurations

The Service may allow you to create custom tickers, synthetic markets, spreads, labels, descriptions, alerts, watchlists, and other configurations.

You are solely responsible for verifying:

  • the selected contracts
  • contract directions
  • weights
  • outcome labels
  • event names
  • payoff construction
  • venue relationships
  • resolution criteria; and
  • any assumptions underlying the configuration.

ArbEx does not guarantee that a user-created ticker or structure is accurate, complete, hedged, equivalent, or suitable for any particular purpose.

User-created structures may initially display incomplete, placeholder, or stale information while data feeds initialize.

18. Alerts and Notifications

ArbEx may allow users to configure alerts based on prices, spreads, calculated edge, or other conditions.

An alert indicates only that ArbEx observed a configured condition based on information available at that time.

It does not guarantee that:

  • the condition remains true
  • the information was accurate
  • the price remains executable
  • liquidity remains available
  • delivery will be immediate
  • the notification will be received; or
  • the position can be completed.

Notification delivery may be affected by email filtering, carriers, internet service, device settings, third-party services, or technical failures.

You should not rely on alerts as your sole means of monitoring a market or position.

19. Beta and Experimental Features

Some features may be labeled beta, experimental, preview, early access, or under development.

Such features may:

  • contain errors
  • be incomplete
  • produce incorrect results
  • change without notice
  • be unavailable
  • lose stored information; or
  • be discontinued.

You use beta and experimental features at your own risk.

20. Permitted Use

Subject to these Terms, ArbEx grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable right to access and use the Service for your personal or internal business purposes during the term of your account or subscription.

No other rights are granted.

Your subscription does not include the right to commercially redistribute, resell, sublicense, publish, or provide the Service or Market Information to third parties.

21. Prohibited Use

You may not:

  • scrape, crawl, harvest, or systematically extract the Service or its data
  • use unauthorized bots, scripts, browser automation, or automated access
  • evade rate limits or access restrictions
  • copy or reconstruct ArbEx’s mapping database
  • commercially redistribute ArbEx matches or analytics
  • republish live or historical Market Information as a competing data feed
  • use ArbEx to build or operate a competing service
  • train a commercial model on ArbEx data without written permission
  • share, resell, or expose subscription access
  • share API keys or credentials
  • reverse engineer the Service or nonpublic matching logic, except where prohibited by law
  • remove proprietary notices or attribution
  • interfere with the Service
  • introduce malicious software
  • test security vulnerabilities without authorization
  • access another user’s account or information
  • impersonate another person
  • use the Service to violate another venue’s rules
  • use the Service for fraud, manipulation, money laundering, sanctions evasion, or illegal conduct; or
  • assist another person in doing any of the above.

Ordinary discussion of individual markets, limited screenshots, and brief excerpts may be permitted for commentary or educational use, provided they do not substitute for the Service, expose paid information systematically, or violate third-party rights.

22. API Access

If ArbEx provides API access, it may be subject to:

  • separate plan requirements
  • documentation
  • usage limits
  • technical restrictions
  • data entitlements
  • attribution requirements
  • fees; and
  • supplemental terms.

Unless expressly authorized in writing, API access does not permit you to:

  • redistribute ArbEx data
  • create a competing product
  • provide public access to paid information
  • remove attribution
  • circumvent plan restrictions
  • cache information beyond permitted limits; or
  • share API credentials.

We may suspend or revoke API access for security, misuse, nonpayment, provider requirements, or violation of these Terms.

23. User Content

You retain rights you lawfully hold in your User Content.

You grant ArbEx a worldwide, nonexclusive, royalty-free license to host, store, process, reproduce, modify, display, and use User Content as reasonably necessary to:

  • provide the Service
  • save your settings
  • operate custom tickers
  • deliver alerts
  • improve functionality
  • troubleshoot errors
  • secure the Service; and
  • comply with law.

You represent that you have the right to submit your User Content and that it does not violate law or another person’s rights.

Do not submit confidential, proprietary, or sensitive information that you do not wish ArbEx to process.

24. Feedback

If you provide suggestions, ideas, feature requests, bug reports, or other feedback, you grant ArbEx a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.

This does not give ArbEx ownership of your independently developed trading strategies merely because you use the Service.

25. Intellectual Property

ArbEx and its licensors retain all rights in the Service, including:

  • software
  • source code
  • databases and compilations
  • interfaces
  • design
  • matching systems
  • algorithms
  • synthetic-market logic
  • calculated analytics
  • documentation
  • branding
  • graphics; and
  • original content.

Except for the limited right expressly granted under these Terms, no license or ownership right is transferred to you.

“ArbEx,” its logos, and related marks may not be used without prior written permission.

26. Privacy

Our collection and use of personal information are described in the ArbEx Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

27. Service Availability

We do not guarantee that the Service will be:

  • continuously available
  • uninterrupted
  • secure
  • error-free
  • compatible with every device
  • free from data loss; or
  • available in every location.

We may:

  • perform maintenance
  • revise matching logic
  • remove or correct a market
  • modify a synthetic construction
  • change Information Providers
  • change features
  • limit functionality
  • discontinue integrations; or
  • suspend portions of the Service.

Where reasonably practicable, we will provide notice before materially discontinuing a paid feature.

28. Corrections

ArbEx may correct:

  • incorrect prices
  • incorrect calculations
  • incorrect matches
  • stale information
  • duplicated markets
  • malformed data
  • inaccurate descriptions; or
  • technical errors.

We may remove or disable a market, match, ticker, alert, or feature without notice where we reasonably believe it is inaccurate, misleading, unsafe, unlawful, or operationally problematic.

29. Suspension and Termination

We may suspend, restrict, or terminate your access if:

  • you violate these Terms
  • payment is overdue
  • we suspect fraud or unauthorized access
  • your use threatens security or operations
  • an Information Provider requires restriction
  • continued access creates legal or regulatory risk
  • you misuse Market Information; or
  • the Service is discontinued.

You may stop using the Service or cancel your subscription at any time.

Upon termination, your right to access the Service ends.

Sections that by their nature should survive termination—including ownership, restrictions, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.

30. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, MARKET INFORMATION, ARBEX ANALYTICS, MATCHES, SYNTHETIC MARKETS, CALCULATIONS, ALERTS, AND ALL OTHER CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ARBEX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND INFORMATION PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT
  • ACCURACY
  • COMPLETENESS
  • CURRENTNESS
  • AVAILABILITY
  • SECURITY; AND
  • QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE OR ANY INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

31. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBEX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND INFORMATION PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

This exclusion includes damages arising from:

  • trading losses
  • loss of profit
  • loss of opportunity
  • reliance on Market Information
  • incorrect contract matching
  • synthetic-market errors
  • inaccurate calculations
  • stale or delayed prices
  • failed or partial execution
  • unexpected settlement
  • venue disputes
  • account restrictions
  • third-party conduct
  • service interruption
  • lost data
  • missed alerts; or
  • unauthorized account access.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBEX’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE TOTAL AMOUNT YOU PAID ARBEX DURING THE SIX MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of legal theory and even if ArbEx was advised that damages were possible.

Nothing in these Terms limits liability that cannot lawfully be limited.

32. Information-Provider Disclaimer

To the maximum extent permitted by law, Information Providers:

  • make no warranties concerning their information
  • do not guarantee accuracy, completeness, or timeliness
  • are not responsible for errors, delays, interruptions, or omissions
  • are not liable for decisions made using their information; and
  • may discontinue or modify their information.

Information Providers are not responsible for ArbEx Analytics, contract matching, synthetic calculations, or the presentation of information by ArbEx.

Nothing in this section makes an Information Provider a contractual third-party beneficiary unless expressly required by applicable provider terms.

33. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ArbEx and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, judgments, penalties, costs, and reasonable legal fees arising from:

  • your violation of these Terms
  • your misuse of the Service
  • your violation of law
  • your violation of a third-party platform’s rules
  • your User Content
  • your infringement of another party’s rights; or
  • activity conducted through your account.

You are not required to indemnify ArbEx for conduct where indemnification is prohibited by law.

34. Force Majeure

ArbEx will not be responsible for delay, failure, interruption, or loss caused by events beyond its reasonable control, including:

  • internet or telecommunications failures
  • venue or Information Provider outages
  • cloud-service failures
  • payment-processor failures
  • blockchain congestion or failure
  • cyberattacks
  • natural disasters
  • fire
  • flood
  • war
  • terrorism
  • civil unrest
  • labor disputes
  • governmental action
  • regulatory changes
  • power failure; or
  • other similar events.

35. Changes to the Service

We may modify the Service at any time, including by:

  • adding or removing features
  • changing subscription plans
  • changing data coverage
  • revising matching logic
  • modifying calculations
  • changing integrations; or
  • discontinuing support for a venue.

The availability of a feature at one time does not guarantee future availability.

36. Changes to These Terms

We may update these Terms from time to time.

The updated Terms will state the effective date.

For material changes, we may notify you by:

  • email
  • notice through the Service
  • prominent website notice; or
  • requiring renewed affirmative acceptance.

Where renewed acceptance is required, you may not continue using the affected portion of the Service until you accept the updated Terms.

37. Electronic Communications

You agree that ArbEx may provide agreements, notices, receipts, disclosures, and other communications electronically through the Service or at the email address associated with your account.

You are responsible for keeping your email address current.

Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.

38. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules.

Subject to any rights that cannot lawfully be waived, any legal action arising from these Terms or the Service must be brought exclusively in the state or federal courts located in Cook County, Illinois.

You and ArbEx consent to the jurisdiction of those courts.

39. No Waiver

Failure to enforce any provision of these Terms does not waive the right to enforce it later.

40. Severability

If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

41. Assignment

You may not assign or transfer these Terms without ArbEx’s written consent.

ArbEx may assign these Terms in connection with:

  • a merger
  • acquisition
  • financing
  • reorganization
  • sale of assets; or
  • transfer of the Service.

42. Entire Agreement

These Terms, the Privacy Policy, any applicable plan terms, and any supplemental terms presented for a particular feature constitute the entire agreement between you and ArbEx concerning the Service.

They supersede prior discussions or agreements concerning the same subject matter.

43. No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create enforceable rights for any third party.
